360CPA , a Certified Public Accounting (CPA) firm registered in the United States ("we," "us," or "our"), provides professional accounting, auditing, tax, consulting, and related services (the "Services") to clients ("you" or "Client") subject to the following Terms of Service ("Terms"). By engaging our Services, you agree to these Terms. If you do not agree, do not use our Services.

Scope of Services

We will provide the Services as described in any engagement letter, proposal, or agreement between us and you (the "Engagement Agreement"). Services may include financial audits, tax preparation, bookkeeping, advisory services, and compliance consulting. Any changes to the scope must be agreed upon in writing. We reserve the right to modify Services as needed to comply with applicable laws and professional standards.

Client Eligibility and Responsibilities

You represent that you are at least 18 years old, have the legal capacity to enter into these Terms, and are not barred from receiving our Services under applicable laws (e.g., OFAC sanctions). You agree to provide accurate, complete, and timely information necessary for us to perform the Services. You are responsible for the accuracy of all data you provide and for safeguarding your confidential information.

Intellectual Property

Any work product, reports, or deliverables created by us in connection with the Services ("Work Product") are our property until full payment is received. Upon payment, we grant you a non-exclusive, non-transferable license to use the Work Product solely for your internal business purposes. You retain ownership of any pre-existing materials you provide to us.

Confidentiality

We will maintain the confidentiality of your information in accordance with applicable laws, including the AICPA Code of Professional Conduct and IRS regulations. You agree not to disclose our confidential information without our written consent. This obligation survives termination of these Terms. Exceptions include disclosures required by law or court order.
